3. Services Offered

We offer a range of services, including but not limited to:

2. Branding: Brand identity strategy, rebranding, influencer marketing, and graphic design.
3. Digital Marketing: Social media management, advertisements (Google Ads, social media, OOH), SEO, SEM, and content marketing.
4. Strategic Development: Market research, market entry planning, competitive analysis, and business strategy consulting.

All services are tailored to meet client needs based on mutually agreed terms. Services provided are subject to the agreements signed between GPRE and the client (such as service contracts, SLAs, or retainer agreements).

4. Payment Terms

All pricing and payment terms for services will be outlined in the individual contract or agreement between GPRE and the client.

1. Invoicing: Invoices will be issued as agreed in the contract. Payments are due within the terms specified.
2. Late Payments: Late payments may incur penalties or interest as outlined in the agreement, and GPRE reserves the right to suspend services until payment is received.
3. Currency: Payments must be made in Kenyan Shillings (Kshs.) and US Dollars ($) unless otherwise agreed.

Failure to meet payment obligations may result in the termination of services or legal action to recover outstanding amounts.

5. Intellectual Property

All intellectual property (IP) created by GPRE, including but not limited to designs, strategies, content, and marketing materials, remains the property of GPRE unless explicitly transferred in writing.

• Client's Use of IP: Clients are granted a limited, non-exclusive license to use materials created by GPRE for the duration and purpose of the specific project or engagement.
• GPRE's Use of Client IP: GPRE may use the client's logo, name, and project details in promotional materials, case studies, and other content, unless the client requests otherwise.

Clients may not reproduce, modify, distribute, or sell any GPRE-owned materials without prior written consent.

6. Confidentiality

Both parties agree to maintain confidentiality regarding sensitive business information shared during the course of a project.

• Client's Confidential Information: GPRE agrees not to disclose any client's confidential information without prior written consent.
• GPRE's Confidential Information: Clients agree not to disclose any proprietary methods, strategies, or trade secrets of GPRE to third parties without our express permission.

Confidentiality obligations will continue to apply after the termination of the business relationship.

7. Termination of Services

Either party may terminate the agreement for services by providing notice in writing, subject to the terms of the individual contract. Reasons for termination may include but are not limited to:

1. Client's Non-Payment: GPRE reserves the right to terminate services if the client fails to make timely payments.
2. Client's Breach of Terms: Any breach of these terms or other contractual agreements may result in the suspension or termination of services.

Upon termination, all outstanding fees must be settled immediately, and all GPRE-owned intellectual property must be returned or destroyed.

8. Limitation of Liability

GPRE is not liable for any direct, indirect, incidental, special, or consequential damages that arise from the use of our services or website, including but not limited to:

1. Loss of business or profits.
2. Inaccurate information.
3. Service disruptions.

We will not be liable for any issues beyond our reasonable control, such as third-party failures, natural disasters, or unforeseen technical issues.

In no event shall GPRE's total liability exceed the amount paid by the client for the specific service giving rise to the claim.

9. Disclaimer

While GPRE strives to provide accurate and up-to-date information, we make no representations or warranties regarding the completeness or accuracy of the content on our website or provided through our services.

Our services are provided "as is" and "as available," without any warranties of any kind, either express or implied. While we strive to provide you the services to our best capabilities and highest quality, GPRE does not guarantee specific results from the use of our services or website.

10. Governing Law

These Terms and Conditions shall be governed and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Kenya.
